TRC AGENCY REFERRAL AGREEMENT

PLEASE READ THIS REFERRAL AGREEMENT CAREFULLY.

This agreement (the “Agreement”) is between you (the “Referrer”) and The Russell Collective, LLC d/b/a TRC Agency (“we,” “us,” or “our”), a digital marketing agency specializing in paid advertising, lead generation, and business automation solutions. This Agreement sets forth the terms under which you may refer potential clients to TRC Agency in exchange for a referral commission.

We periodically update these terms and reserve the right to modify, replace, or terminate this Agreement. We will notify you of any significant changes via email or through our referral portal. If you do not agree to the updated terms, you may choose to terminate your participation as described below.

1. Definitions

  • “Referral Program” means the marketing arrangement in which a Referrer earns commissions for valid referrals that result in new clients signing up for TRC Agency’s monthly retainer services.

  • “Referred Client” means a customer who signs a contract with TRC Agency for a monthly retainer service after being introduced through a Referrer’s unique referral process.

  • “Referral Commission” means 15% of the referred client’s monthly retainer fee, payable each month that the client remains under contract with TRC Agency.

  • “Referral Agreement” refers to this document and all terms governing the Referral Program.

2. Non-Exclusivity

This Agreement is non-exclusive. You are free to refer potential clients to other businesses, and we may accept referrals from multiple sources.

3. Referrer Eligibility and Acceptance

To participate in the Referral Program, you must submit an application or receive written confirmation from TRC Agency acknowledging your acceptance into the program. We reserve the right to accept or reject any referrer application for any reason.

4. Referral Commissions & Payment Eligibility

4.1. Commission Structure

  • You will receive a 15% commission on the referred client’s monthly retainer fees for each month that they remain an active client of TRC Agency.

  • Commissions are calculated based on the actual amount paid by the referred client, excluding any taxes, fees, or one-time setup costs.

  • Commission payments will continue as long as the referred client maintains an active retainer agreement with TRC Agency.

4.2. Eligibility Requirements

To qualify for commissions:

  • The referred client must be a new client who has not previously engaged TRC Agency’s services.

  • The client must sign a retainer agreement and remain an active paying client.

  • The referred client must be introduced through an approved referral process (i.e., a formal introduction or a tracked referral link).

  • The Referrer may not refer themselves or any business entity they own.

4.3. Commission Payments

  • Commissions are paid monthly, within 30 days of TRC Agency receiving the referred client’s retainer payment.

  • Payments will be made via TRC Agency’s preferred payment method as specified in the program.

  • Referrers are responsible for providing accurate payment details and complying with tax regulations.

5. Referrer Responsibilities

5.1. Referral Guidelines

  • Referrers must act professionally and ethically when referring potential clients.

  • Referrers may not make false or misleading claims about TRC Agency’s services.

  • Referrers must not use paid advertising to promote referral links without prior written approval.

5.2. Compliance & Ethics

  • Referrers must comply with all applicable laws and regulations.

  • Spam, misleading promotions, or unauthorized marketing tactics will result in immediate termination from the program.

6. Termination

6.1. Term and Termination

  • This Agreement remains in effect until terminated by either party.

  • Either party may terminate this Agreement with 15 days’ written notice.

  • Immediate termination may occur if the Referrer engages in unethical or fraudulent referral practices.

6.2. Effects of Termination

  • Upon termination, all rights to earn referral commissions cease immediately.

  • Any unpaid commissions for valid transactions will be processed per program policies.

  • Referrers must remove all TRC Agency branding and referral links from their content.

7. Disclaimers & Limitation of Liability

  • TRC Agency makes no warranties regarding the Referral Program, services, or commission payouts.

  • We are not liable for indirect or consequential damages, including lost profits.

  • Our total liability under this Agreement is limited to the commissions earned in the 12 months preceding the claim.

8. General Provisions

8.1. Governing Law

This Agreement is governed by the laws of Utah.

8.2. Independent Contractors

This Agreement does not create an employment, agency, or joint venture relationship.

8.3. Entire Agreement

This Agreement constitutes the entire understanding between the parties and supersedes any prior agreements.

8.4. Amendments

We reserve the right to update this Agreement at any time. Continued participation in the Referral Program constitutes acceptance of any revised terms.

By applying to and participating in the TRC Agency Referral Program, you acknowledge that you have read, understood, and agreed to the terms and conditions outlined in this Agreement.
